The following Terms of Service (the "Terms") govern your use of the vipfreelancer website and mobile application, including all content, features, and services available on www.vipfreelancer.com or through the vipfreelancer mobile app (the "Site"). These Terms apply to vipfreelancer. (Thane, Maharashtra, India), Collectively, vipfreelancer and its subsidiaries are referred to as "vipfreelancer," "we," or "us." "You" or "user" refers to you, the individual using the Site.

Please read these Terms carefully before using the Site. By using the Site, opening an account, or agreeing to these Terms when prompted, you accept and agree to be bound by these Terms, including vipfreelancer’s Payment Terms, Community Standards, and any other applicable policies, standards, and guidelines (collectively, the “Terms”). You also acknowledge that you have read and understood our Privacy Policy. If you do not agree to these Terms or the Privacy Policy, you must not use the Site. 1. Representations and Warranties

The Site is available to users who are at least 18 years old and of legal age to enter into a binding contract. Users aged 13 to 17 may use the Site only through an account owned by a parent or legal guardian, with their permission. Users under 13 are not allowed to use the Site or vipfreelancer services.

The Site is not available to users subject to economic sanctions or trade restrictions imposed by the United States, the European Union, or any other applicable jurisdiction.

By using the Site, you confirm that you meet these eligibility requirements. If you do not meet these requirements, you must not use the Site.

2. Key Terms

  • Buyers: Users who purchase services on vipfreelancer.

  • Custom Offers: Exclusive proposals created by Sellers in response to specific Buyer requests.

  • Gig® Extras: Additional services offered by Sellers on top of their Gig for an extra fee.

  • Gig® Packages: Service bundles offered by Sellers at different price points, which may include upgrades for higher basic prices.

  • Gig® Page: The page where Sellers describe their Gig, its terms, and where Buyers can purchase and order the Gig.

  • Gig® / Gigs® / Services: Services available on vipfreelancer.

  • Hourly Contract: An Order based on an hourly Custom Offer with an agreed Hourly Rate.

  • Hourly Limit / Weekly Hourly Limit: The maximum number of working hours per week defined in an Hourly Contract.

  • Hourly Rate: The agreed rate per hour for an Hourly Contract.

  • Hourly Weekly Report / Weekly Report: The weekly report of working hours provided by the Seller for an Hourly Contract.

  • Logo Design: An original logo design created by a Seller using the vipfreelancer Logo Maker.

  • Logo Maker: vipfreelancer’s automated tool for creating and customizing logo designs.

  • Order Page: The page where Buyers and Sellers communicate regarding an ordered Service.

  • Orders: Formal agreements between Buyers and Sellers.

  • Professions: Categories where eligible Sellers can showcase their services based on specific skills.

  • Sellers / Freelancers: Users who offer and provide services on vipfreelancer.

  • Seller Page: The page where Sellers can display their information, portfolio, Professions, and other helpful details for Buyers.

3. Overview (Main Terms)

Only registered users can buy and sell on vipfreelancer. By registering, you agree to provide accurate, complete, and updated information and to update it as needed. Accounts must not be created for fraudulent or misleading purposes. You are responsible for all activity on your account and for maintaining your password's security. We are not liable for actions related to your account.

Sellers set their own prices, with services starting at a base price of $5 and a minimum Hourly Rate of $7.25. vipfreelancer may set higher base prices in some categories.

Buyers must pay vipfreelancer in advance to place an Order, as detailed in the Payment Terms. For Hourly Contracts, vipfreelancer Pro Clients are billed weekly based on the Hourly Weekly Report.

Sellers are required to fulfill their Orders and should not cancel them frequently or without cause, as it affects their reputation and level.

Sellers achieve account levels based on their performance metrics. More details are available in the Levels section.

Users must use vipfreelancer.com to make and receive payments.

When purchasing services, Buyers receive rights to the delivered work unless specified otherwise by the Seller on the Gig page or agreed between Seller and Buyer. Note that some Gigs may charge extra for a Commercial Use License. See the “Ownership” and “Commercial Use License” sections for details.

vipfreelancer retains the right to use all delivered work for reviews and marketing purposes, including Logo Designs.

vipfreelancer offers the Logo Maker for Sellers to create original logo designs that Buyers can customize. Buyers purchasing through the Logo Maker receive full commercial use rights to the Logo Design with their brand name.

4. Sellers

4.1 Basics

Sellers create Gigs on vipfreelancer to offer their services to Buyers. In addition to Gigs, Sellers can provide Custom Offers to Buyers, including hourly Custom Offers for eligible Pro Clients.

For each completed Gig, Sellers earn 80% of the purchase amount. For Hourly Contracts, Sellers earn 80% of the Hourly Rate for the hours completed as reported in the Weekly Report.

vipfreelancer credits Sellers after an Order or Hourly Weekly Report is completed. For more details, refer to the "Orders" section below.

Sellers cannot promote their Gigs, Seller Page, or any vipfreelancer content via Google Ads.

Sellers' ratings are based on reviews from Buyers or the Pro Account Team (for vipfreelancer Pro). High ratings can lead to advanced Seller levels, while very low ratings may result in account suspension (see the Levels section).

Sellers are responsible for obtaining general liability insurance to cover risks associated with their services.

If you use vipfreelancer for your primary job or profession, you are considered a “Business Seller” and must provide additional information and documents upon request, including identification, payment details, and business registration. Failure to provide these may lead to account restrictions or suspension.

4.2 Gigs®

Sellers can post a limited number of active Gigs based on their level status.

Gigs are User Generated Content and may be removed by vipfreelancer for violating the Terms. Violations include, but are not limited to:

  • Illegal or fraudulent services
  • Copyright or trademark infringement
  • Adult, pornographic, or obscene content
  • Intentional copies of other Gigs
  • Spam, violence, or deception
  • Misleading Gigs
  • Reselling regulated goods
  • Offering to prepare academic work
  • Low-quality services
  • Promoting vipfreelancer through prohibited activities

Gigs removed for violations may lead to account suspension. Permanently removed Gigs cannot be restored or edited.

Gigs may include pre-approved website URLs and must have a relevant image. Services must match the quality shown in the Gig images. Inconsistent quality may result in a loss of Seller level or account suspension.

Gigs may also include an approved video uploaded through Gig management tools.

Statements undermining these Terms are prohibited.

Eligible Gigs can offer services in structured formats with multiple price points. Certain categories are restricted to Pro Freelancers.

4.3 Gig® Extras

Gig Extras are additional services offered for an extra fee. They must relate to the base service and be part of the Order deliverables.

Gig Extras may be removed for violating our Terms. Services offered through Gig Extras must be relevant to the base service and contribute to a higher-quality deliverable.

Sellers can extend the duration of an Order to complete each Gig Extra.

4.4 Levels

vipfreelancer’s level system rewards Sellers based on their activity and performance metrics. Higher levels provide additional benefits and tools. Top Rated Seller Level (TRS) also requires manual evaluation.

TRS evaluation may involve mandatory tests or verification steps in certain categories.

vipfreelancer may update level criteria and benefits periodically. Violations of Terms may affect your account’s progress in the leveling system, eligibility for benefits, and tool access.

4.5 Pro Freelancers

Pro Freelancers are selected professionals vetted by vipfreelancer. Anyone can apply for vipfreelancer Pro, whether new or existing Freelancers.

vipfreelancer continuously evaluates Pro Freelancers to maintain quality standards. Significant drops in ratings, delivery issues, or Terms violations may lead to loss of Pro status and associated benefits.

Pro Freelancers' profiles are featured on vipfreelancer Enterprise catalog as part of vipfreelancer Business Solutions. They can opt out of this catalog if desired.

4.6 Seller Features

Custom Offer: Sellers can send Custom Offers to address specific Buyer requirements, including service description, price, and delivery time. Custom Offers are sent from the conversation page and must comply with vipfreelancer’s Terms.

Hourly Contract: Eligible Sellers can offer Hourly Contracts to Pro Clients. The Custom Offer must specify the Hourly Rate and estimated working hours. The minimum working hours is 8. Hourly Contracts can be terminated or paused with 24 hours' notice. Sellers must report working hours accurately and within the weekly deadline.

Project Milestones

For Gigs and Custom Offers over $100, you may include up to six project milestones. Each milestone must be at least $50, and the project must have at least two milestones. Each milestone is paid and delivered separately according to the Gig or Custom Offer’s description and timelines.

Once a milestone is delivered and marked as completed, Buyers can choose to either continue with the Order and pay for the next milestone, or terminate the Order. If payment for the next milestone is not made within 10 days of accepting the previous milestones, the next milestone will not start. A milestone will automatically be marked as complete if no acceptance or modification request is submitted within 8 days after it is marked as Delivered. In this case, subsequent milestones will not commence.

Gig Subscription

Eligible Sellers can offer Buyers a fixed-term subscription for a specific Gig (the “Gig Subscription”). During the subscription term, the Seller will deliver one Order of the same Gig on a recurring basis, as agreed with the Buyer.

Buyers may cancel future Orders under the Gig Subscription before payment is made. Once payment is processed, vipfreelancer’s Order Cancellation policy will apply.

Sellers can cancel the Gig Subscription up to 10 days before the next Order. If not canceled in time, vipfreelancer’s Order Cancellation policy will apply.

Stock Media

Eligible Gigs can access and use a catalog of licensed images, music, and footage clips (“Stock Media”).

Sellers earn 20% of the fees charged for standard license Stock Media. vipfreelancer may offer Buyers the option to enhance their standard license, but Sellers will not receive additional revenue from these enhanced licenses.

Important: Each Stock Media item is authorized for one-time use only and must be integrated into the delivered work. It cannot be used as a stand-alone item or for recurring use. Sellers are not permitted to share the original media file with Buyers or any third parties. Stock Media is governed by Shutterstock's license terms. Important: If you cancel an Order that includes Stock Media, the license for the Stock Media will also be canceled, and you will no longer be able to use it.

Stock Media is available for purchase by anyone and is not owned exclusively by the Buyer.

Shipping Physical Deliverables

For Gigs involving physical items (e.g., arts and crafts, collectible items), Sellers can set a shipping pricing factor. The following rules apply for shipping physical deliverables:

  • Gigs with a shipping pricing factor must include physical items sent to Buyers.
  • Shipping costs reflect the expense Sellers incur to ship items to Buyers.
  • Buyers must provide a shipping address for Gigs requiring physical delivery.
  • Sellers are responsible for all shipping arrangements once the address is provided.

vipfreelancer does not handle or guarantee shipping, tracking, quality, or delivery. We are not liable for any issues related to shipping.

A tracking number helps avoid disputes. If available, enter the tracking number in the Order Page when delivering your work.

Buyers

5.1 Basics

Direct payments to Sellers outside of the vipfreelancer platform are prohibited.

vipfreelancer retains the right to use all delivered work that is agreed upon and published as part of a review or vipfreelancer marketing, including Logo Designs.

Buyers can request Custom Offers from Sellers to address specific needs. Services must comply with vipfreelancer’s guidelines. Click [here] for approved services. Do not use vipfreelancer features for purposes other than seeking services.

When placing an Order, use funds from legal sources only, with no connections to unlawful activities.

5.2 Purchasing

Refer to the Payment Terms for details on making payments, including fees and taxes.

Payments must be made through vipfreelancer.com. Report any requests for alternative payment methods to Customer Support [here].

5.3 Recommendation System

vipfreelancer provides personalized content recommendations to enhance your experience. Learn more about vipfreelancer's Recommendation System [here].

Orders

6.1 Basics

Once payment is confirmed, your Order is created. For Hourly Contracts, payment of the Order Initiation Fee triggers Order creation.

An Order is marked as Complete once it is delivered and accepted by the Buyer. If no acceptance or modification request is made within 3 days of delivery, the Order will be automatically marked as Complete. Buyers may extend this period by up to 5 days.

For Hourly Contracts, a Weekly Report is automatically marked as Complete if not disputed within 72 hours after charging the Client’s payment method.

Logo Maker Orders are completed once payment is made by the Buyer.

For milestone Orders, a milestone is marked as Complete after delivery and acceptance by the Buyer. If no acceptance or modification request is made within 8 days of delivery, all further milestones will not start. After a milestone is accepted, Buyers can choose to continue and pay for the next milestone or terminate the Order. If payment for the next milestone is not made within 10 days of the previous milestone’s acceptance, the next milestone will not start. The current milestone will not be canceled if future milestones are stopped.

Buyers can purchase a Gig Subscription if available. A new Order of the same Gig will be created automatically during the subscription term. By purchasing, you authorize automatic charges from your vipfreelancer Balance or saved payment method. If no balance or saved method is available, you will need to approve the payment. If payment fails, Orders will be canceled. Buyers can cancel future Orders before payment. Sellers can cancel future Orders up to 10 days before the next Order.

Certain local service Gigs may require in-person meetings. vipfreelancer does not guarantee the behavior or safety of users in such cases. Both parties assume all risks associated with in-person meetings and local services. Buyers are encouraged to have insurance for their premises. vipfreelancer’s Terms apply to Orders performed outside the marketplace.

6.2 Handling Orders

When a Buyer places an Order, Sellers are notified via email and site notifications.

Sellers must meet their specified delivery times. Failure to do so may allow Buyers to cancel the Order and affect the Seller’s level.

Sellers must send completed files or proof of work when marking the Order as Delivered. Misuse of the “Deliver Work” button to bypass guidelines may lead to Order cancellation, affect Seller ratings, and result in warnings.

Users are responsible for scanning files for viruses and malware. vipfreelancer is not liable for damages from site usage or transferred files.

Buyers can use the "Request Revisions" feature if the delivered work does not match the Gig description or initial requirements.

6.3 Reviews

Reviews are crucial to vipfreelancer’s rating system. Learn more about vipfreelancer’s review system [here].

Reviews will not be removed unless there are clear Terms violations.

All reviews must come from legitimate orders. Misuse to enhance Seller ratings or abuse the site may result in account suspension.

Withholding delivery to gain favorable reviews or additional services is prohibited. Sellers cannot solicit the removal of feedback through mutual cancellations.

Once reviews are completed or the review period ends, they become public.

Work Samples are added to a Seller’s Gig gallery if the Buyer publishes them while providing a public review. Work Samples include images and videos delivered to the Buyer.

vipfreelancer Logo Maker

The vipfreelancer Logo Maker allows select Sellers to offer original logo designs (“Logo Designs”) that Buyers can adjust and customize using automated design tools. When purchasing through the Logo Maker, Buyers acquire a full commercial use license for the Logo Design, customized with their brand name.

vipfreelancer selects Logo Maker Sellers through a review process based on design quality, experience, sales volume, ratings, customer service, and order completion rates. Automated systems may help detect and prevent infringement or illegal content, and limit the number of active Logo Designs each Seller can offer.

By uploading a Logo Design, you confirm that it is your original work, you own all rights to it, and it does not infringe on any third-party rights. You also confirm that the design has not been sold previously and will not be offered for sale outside of vipfreelancer Logo Maker.

7.1 Editing Tool Commercial Use License

In addition to purchasing a Logo Design, Buyers can purchase a package that allows them to create variations using the Logo Maker’s editing tool. This package grants Buyers a non-exclusive, non-transferable, non-sublicensable, and personalized right to access the editing tool for customizing the Logo Design.

Reselling the Logo Design or its variations is prohibited and may result in account restrictions. vipfreelancer reserves the right to update the editing tool and/or terminate the service at its discretion.

7.2 Logo Design Commercial Use License

Upon completing a Logo Maker Order and making payment, the Seller grants the Buyer a worldwide, royalty-free, non-sublicensable, non-exclusive, irrevocable license to use the Logo Design with the Buyer’s brand name for any purpose, except illegal, immoral, or defamatory uses. No warranties are provided regarding the fitness of the Logo Design for a particular purpose. Neither the Seller nor vipfreelancer is liable for any claims or damages related to this license or the use of the Logo Design. The Seller retains all ownership rights to the Logo Design; no ownership or copyrights are transferred to the Buyer.

8. User Conduct and Protection

vipfreelancer is dedicated to providing a professional, friendly, and community-oriented environment. Users are expected to adhere to these standards while participating on vipfreelancer.

8.1 Basics

Requesting or providing personal contact details (e.g., email addresses, phone numbers) to communicate outside of vipfreelancer to bypass the messaging system is prohibited.

Necessary personal information for continuing a service may be exchanged within the Order Page.

vipfreelancer does not guarantee the quality of services provided by Sellers. Use the dispute resolution tools on the Order Page for issues.

vipfreelancer does not protect users who interact outside of the Site.

All exchanges of information and files must occur exclusively on the Site.

Rude, abusive, or threatening language will not be tolerated and may lead to warnings or account suspension/removal.

Discrimination against other users based on gender, race, age, religion, sexual orientation, or other factors is not allowed and may result in account suspension/removal.

Users must not solicit or propose contracting outside of vipfreelancer with parties introduced through the platform.

8.2 Orders

Users attempting to defame competitors by ordering competing services will have their reviews removed or face other account actions determined by our Trust & Safety team.

Avoid spamming or soliciting previous Buyers or Sellers to remove/modify reviews or cancel Orders not aligned with Order Cancellation or Feedback policies.

8.3 Gigs & Seller Page

Sellers must ensure that all content on their Services, Gig Page, and Seller Page is original and does not infringe on third-party rights, including copyrights, trademarks, or service marks. If using music or stock footage, Sellers must have a valid license.

Report Gigs that replicate existing services (copycat Gigs) through our reporting system or Customer Support.

8.4 Reporting Violations

Report any content that may violate our Terms or Community Standards through the appropriate channels. All cases are reviewed by our Trust & Safety team, and results are not shared to protect privacy. Misuse of the reporting system may lead to restrictions or suspension of accounts.

8.5 Violations

Users may receive warnings for violating Terms or misconduct. Warnings are sent via email and displayed on the Site. They may affect account leveling, eligibility for benefits, Gig listings, or result in permanent account disablement.

If actions are taken against an account or Gigs for violating Terms, an email will explain the reasons and provide options for additional review. For more information, see our Notices and Appeals section.

Non-Permitted Usage

  • Adult Services & Pornography: Adult or pornographic materials and services are not allowed.
  • Inappropriate Behavior & Language: Communication must be friendly and professional. Bullying, harassment, and hate speech are prohibited.
  • Phishing and Spam: Attempts to compromise member accounts or computers with malicious content are strictly prohibited. Do not contact members with unrelated offers or questions.
  • Privacy & Identity: Do not publish or post private or confidential information. Personal information required for services must be exchanged on the Order Page. Sellers must use Buyer information only for delivering work. Users communicating outside vipfreelancer are not protected by our Terms.
  • Authentic vipfreelancer Profile: Do not create false identities or misrepresent yourself. Profiles must be accurate and complete. vipfreelancer may require verification to use the Site.

Intellectual Property Claims

vipfreelancer will respond to clear and complete notices of copyright or trademark infringement and/or violations of third-party terms. Review our Intellectual Property claims procedures [here].

Fraud / Unlawful Use

vipfreelancer must not be used for illegal purposes or to conduct unlawful activities, including circumventing economic sanctions or trade restrictions.

Abuse and Spam

  • Multiple Accounts: Users are limited to one active vipfreelancer account and one active vipfreelancer Pro account. Additional accounts created to circumvent guidelines or mislead the community will be disabled. Mass account creation may result in all related accounts being disabled.
  • Targeted Abuse: Harassment through multiple accounts or other means is not tolerated.
  • Selling Accounts: Buying or selling vipfreelancer accounts is prohibited.

8.6 Disputes and Cancellations

We encourage Buyers and Sellers to resolve conflicts directly. If this fails or if you encounter prohibited behavior on the Site, you can contact vipfreelancer's Customer Support for assistance [here]. For details on disputes, order cancellations, and refunds, please refer to the Payment Terms.

8.7 Content Moderation, Notices, and Appeals

vipfreelancer is not required to routinely check user content for legality or compliance with our Terms. However, we may perform voluntary checks to identify and address illegal or non-compliant content and take appropriate action if necessary. If you disagree with any action vipfreelancer has taken regarding your account or content, you can appeal the decision. Complaints must be filed within six months of receiving the notification. Submit your complaint to our Customer Support, explaining why you believe the decision should be reversed.

For users in the European Economic Area (EEA), you may also choose a certified out-of-court dispute resolution body as per Art. 21 (3) of the EU Digital Services Act (“Dispute Settlement Body”) for disputes related to our content decisions. vipfreelancer may refuse to cooperate with the Dispute Settlement Body if the dispute is already resolved or ongoing elsewhere, or if the six-month period has expired without filing a complaint.

Decisions made by Dispute Settlement Bodies are non-binding.

8.8 Proprietary Restrictions

The Site and its elements, including design, content, and materials, are owned by vipfreelancer and protected by intellectual property laws. vipfreelancer® and related trademarks are registered trademarks of vipfreelancer. Users are prohibited from:

  1. Copying, modifying, distributing, or reproducing any part of the Site.
  2. Reverse engineering or decompiling the Site.
  3. Removing or altering proprietary notices.
  4. Using unauthorized software or automation tools.
  5. Attempting unauthorized access or disrupting the Site.
  6. Circumventing or altering technological protections of the Site.
  7. Using automated tools or manual processes to collect data from the Site.
  8. Introducing harmful software to the Site.
  9. Using the Site in ways that could damage or impair it or interfere with other users.
  10. Accessing or using the Site in any way not expressly permitted by the Terms.

Users must not allow others to do any of the above.

Except for the limited right to use the Site as per these Terms, vipfreelancer retains all ownership rights, including intellectual property rights. We reserve the exclusive right to create derivative works.

8.9 Feedback Rights

Any comments, suggestions, or feedback you provide to vipfreelancer regarding the Site or other vipfreelancer services (“Feedback”) grants vipfreelancer an exclusive, royalty-free, perpetual, irrevocable, worldwide license to use that Feedback. vipfreelancer is not obligated to implement any Feedback.

8.10 Confidentiality

Sellers may need access to confidential information from Buyers to deliver Services. Sellers agree to:

  1. Maintain strict confidentiality of this information.
  2. Not disclose it to third parties.
  3. Use it only for delivering the Services.
  4. Not copy or reproduce the information without Buyer’s permission.

9. User-Generated Content

User-Generated Content ("UGC") refers to content uploaded by users. vipfreelancer does not proactively review UGC for appropriateness or rights violations. Users uploading content are responsible for ensuring it complies with intellectual property laws, privacy rights, and all applicable regulations. By uploading content, you confirm you have all necessary rights and permissions. Violating content may be removed, and we encourage reporting violations with proof of ownership.

vipfreelancer is not responsible for the quality or level of service provided by Sellers. We provide no warranty regarding Services or communications between Buyers and Sellers. Users should use our rating system and community feedback to choose appropriate services. Sellers must have the necessary permissions to provide their services and comply with advertising platform terms. Non-compliance may result in removal or suspension.

10. Ownership

Unless otherwise specified, upon payment, Buyers receive all intellectual property rights to the work delivered, and Sellers waive any moral rights. Sellers assign all rights, title, and interest in the work to the Buyer. Custom work and additional payments for a Commercial Use License may apply. For Voice Over Gigs, basic rights cover non-commercial use, while Commercial Rights and Full Broadcast Rights require additional purchases.

10.1 Voice Over Commercial Buy-Out

Basic rights grant perpetual, exclusive, non-transferable, worldwide use for non-commercial purposes. Purchasing Commercial Rights allows use for commercial purposes excluding paid marketing channels. Full Broadcast Rights include all commercial and broadcasting uses. These rights are subject to vipfreelancer’s Terms and do not include warranties for fitness or damages.

10.2 Commercial Use License

A “Commercial Use License” grants a perpetual, exclusive, non-transferable, worldwide license for business-related uses, excluding illegal or defamatory purposes. The Seller retains ownership rights, and this license is subject to vipfreelancer’s Terms.

10.3 Stock Media

For Gigs involving Stock Media, the Stock Media license terms apply. Buyers are granted a license to use Stock Media in accordance with these terms, which outline permissible uses and restrictions.

Certain Terms related to the relationship between Sellers and Buyers will remain effective even after account deactivation or suspension.

16.3 Severability

If any part of these Terms is deemed unenforceable, it will be limited to the minimum extent necessary so that the remaining Terms continue in full force and effect. vipfreelancer’s failure to enforce any part of these Terms does not waive its right to enforce that or any other part in the future.

16.4 Entire Agreement

These Terms constitute the entire agreement concerning the Site and services, superseding any other agreements related to the Site or services.

16.5 Interpretation

Headings and captions are for convenience only and do not alter the provisions of these Terms. The official language of the Terms is English. Translations are provided for convenience, and in case of conflicts, the English version prevails. For consumers in the EEA, interpretations favorable to the consumer will apply.
